Dedicated Technician. Once an order is placed it is assigned to one of our techs. Within 24 hours your tech is in touch for introduction as well as outlining various assignment procedures. Your technician will work with you throughout the duration of our assignment and will be your contact point for all questions and input.

E. This agreement may not be amended except by a writing signed by both parties. Company will not accept, and will not sign, this agreement unless client confirms that its terms are the exclusive terms to which the parties are bound.

Exhibit A: Standard Terms and Conditions

1. CERTAIN DEFINITIONS.

1.1 Effective Date means the date that this Agreement is signed as set forth on page 1.

1.2 Major Search Engines means the 14 search engines: Yahoo!, Google, MSN, AOL, AltaVista, Excite, Lycos, Looksmart, AllTheWeb, WiseNut, Netscape, AskJeeves, Iwon, and MyWay, except that if any such search engine shall cease operations, Company may substitute another well known search engine.

1.3 Payment Date - means the date the initial $1,200.00 payment is received by the Company.

1.4. Initial Set-Up Period means 30 days after the Effective Date during which time keywords are researched, optimized and installed on Client's website. This also includes the initial submission set-up.

2. OBLIGATIONS OF CLIENT.

2.1 OBLIGATIONS OF CLIENT. Client shall not change the Key Words or Key Word Phrases once they have been optimized without the knowledge and approval of Company. If the Key Words or Key Word Phrases are changed by Client without the knowledge or approval of Company, all warranties of Company shall be null and void. Additionally, any alterations to the optimized source code by any third party, such as a webmaster, hosting company, etc will also void the warranties of this agreement. It is the sole responsibility of the client to monitor said website to ensure the accurate and consistent placement of the source code provided by Company.

2.2 Client shall inform Company of any changes in contact information, such as email addresses and phone number(s).

3. WARRANTY. Our Top 10 position Guarantee! Our guarantee is subject to the following conditions: 1) Your website must 'not' be a mass generated adult oriented sex site, a casino/gambling site, a dating site, a reseller mass generated web hosting service, a mass generated MLM get rich quick site, a mass generated online pharmacy, a website primarily selling Viagra or a website selling products/machines claiming the ability to make private body parts grow!

Submission Process:
1) Your main domain/optimized pages is/are manually submitted to: Google, Yahoo, Dmoz, MSN, AOL, Netscape, AltaVista and Alltheweb.
2) Your main index and five additional pages are successfully submitted to our selected search engine database for a period of one year (biweekly).
3) Your main index or alternative optimized page is enrolled in our 'Page Rank Express'.

Please Note: In order to be strictly compliant with Google, MSN and Yahoo's rules and regulation, only your root domain page is manually submitted (Note: Google Sitemap is a separate process whereby each pages is promoted individually). Google, MSN and Yahoo's spiders will follow through and index successive pages.

Major Search Engines: We guarantee your website(domain) will be found in the first 10 listings of top search engines like Google, MSN or Yahoo (which combined represent 78% of all search engine traffic) using single or multiple keywords related to your web site content, service(s) or product(s)! Your website will be found in the top 10 positions of at least one of the above major search engines!

Major Secondary Search Engines: Furthermore we guarantee your website(domain) will be found in the first 10 listings of secondary major search engines like AOL, Alta Vista, Ask(AskJeeves), DMOZ, Wisenut, Teoma, Excite, Lycos, Looksmart, Fast(AllTheWeb), HotBot, Alexa and/or Netscape using single or multiple keywords related to your web site content, service(s) or product(s)! Your website will be found in the top 10 positions in at least three of the above secondary search engines!

Please note: Indexing in all search engines can take anywhere from 7 days (Page Rank Express) to a maximum of 12 weeks.

Ownership.
All SEO work prepared by Submit Plus for your website is yours to keep permanently. You will have complete ownership of all optimized content and all generated pages (if applicable). Detailed explanation of work performed along with associated files is forwarded on completion of assignment for your records.

Client shall not perform or allow
(e.g. by a webmaster or hosting company) any changes to company's optimized source code once it has been inserted into client's web page specified herein, nor shall client perform or allow any additional standard submissions of said web page to any search engines, nor shall client perform or allow company's optimized source code to be inserted into any web page other than the page specified in this agreement, without the prior knowledge and approval of company. Client shall not fail to perform (or prevent Company from performing) correct insertion of all of Company's optimized source code into the web page specified herein. Any such actions on the part of Client as described in this Section of this Agreement shall void this warranty. It is the sole responsibility of the client to monitor said website to ensure the accurate and consistent placement of the source code provided by Company.

3.2 WARRANTY DISCLAIMER. Except as stated in this section
3, each party disclaims all warranties, express or implied, including without limitation any and all warranties of merchantability, fitness for a particular purpose, title and non-infringement with respect to any technology or services used in performance of this agreement. Neither party warrants that its web page(s) will operate error-free or without interruption. CENTRAL MAINE WEB, LLC. , LLC. does not and can not warranty hits, clicks, traffic or sales.

We cannot warranty that someone will click on your site. What visitors do at your site depends on your site, your product offering and many other variables we have no control over. Several factors contribute to the success or failure of a campaign. Your product or service, price, professionalism of the site, your ability to accept credit cards and a way of contacting you all have something to do with how your campaign will react. What we warranty is that your site will achieve search engine rankings. (Ranking warranties are specific to the program you sign up for. Please refer to section 3.1 of this agreement.)

3.3 FIFTY PERCENT (50%) REFUND. If Company breaches the Warranty as set forth in this section 3, Company shall notify Client by email within 108 days of Effective Date that the promised results have not been achieved; that the customer is entitled to a refund of half the cost of the set-up and administration fees that client has paid. Client's sole remedy shall consist of receiving half of the set-up and administration fees. Said request for refund shall terminate Company's duty to provide services.

4. LIMITATION OF LIABILITY.

4.1 LIMITATION OF LIABILITY. In no event will the total liability (whether in contract, tort or otherwise) of either party in connection with this agreement exceed the greater of the total amount paid or payable to the other party under this agreement as of the time of the event giving rise to liability. Neither party will be liable to the other for consequential, incidental, special or exemplary damages, even if The Party has been warned of the possibility of such damages. The parties understand that this agreement has been negotiated in light of these limitations, and that the terms of this agreement would not have been possible but for this limitation.

5. TERM AND TERMINATION.

5.1 TERM. This Agreement will remain in effect 108 days from the Effective Date. Thereafter, this Agreement will continue on a month-to- month basis until terminated. After the initial 108 day term, Client may terminate this Agreement using any of the methods described in section 3.3, as of the end of the month in which such notice is received by Company. After the initial 108 day term, the Company may terminate this Agreement upon thirty (30) days written notice to Client.

5.2 EFFECTS OF TERMINATION. This Agreement may not be terminated within the first 108 days. The provisions of Sections 3.2, 4, and 5 will survive any expiration or termination of this Agreement.

5.3 All delinquent accounts will be assessed a $20.00 processing fee.

6. GENERAL:

6.1 GOVERNING LAW. This Agreement will be governed by State of Maine in the event of conflicts between the parties.

6.2 ASSIGNMENTS. Neither party to this Agreement may assign this Agreement without the other party's prior written consent. Nevertheless, this Agreement may be assigned without consent to an assignee that has acquired substantially all of a party's stock or assets relating to the activities described in this Agreement.
